KS Techware provides AI-powered IT solutions and digital transformation services, including but not limited to: AI & Machine Learning, Cloud Services (AWS, Azure, GCP), Enterprise IT, Software Development, IT Consulting, IT Management, IT Support, and Application Support. The specific scope, deliverables, and timelines for any engagement will be defined in a separate written agreement or statement of work (SOW).

All content on our website, including but not limited to text, graphics, logos, images, software, and design, is the property of KS Techware or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. Any custom deliverables developed for you under a paid engagement will be governed by the intellectual property terms specified in the applicable SOW.
Fees for our services are outlined in the relevant proposal, SOW, or invoice. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may accrue interest at 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend or terminate services for non-payment. All fees are non-refundable unless otherwise specified in the SOW or required by law.
Both parties agree to keep confidential any proprietary or non-public information disclosed during the course of the engagement, including but not limited to technical specifications, business plans, customer data, and pricing. Confidential information may only be used for the purposes of fulfilling the engagement and will not be disclosed to third parties without prior written consent, except as required by law. This obligation survives the termination of any agreement.
KS Techware warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. EXCEPT AS EXPRESSLY STATED HEREIN, ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
To the maximum extent permitted by law, KS Techware shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity arising out of or related to your use of our website or services. Our total aggregate liability for any claim arising out of the services shall not exceed the total fees paid by you in the 12 months preceding the claim. This limitation does not apply to liability for gross negligence, willful misconduct, or breaches of confidentiality.
Either party may terminate an engagement upon written notice as specified in the applicable SOW. Upon termination, you shall pay for all services rendered up to the termination date. Sections regarding confidentiality, intellectual property, limitation of liability, and payment obligations survive termination. We may suspend or terminate access to our website at any time for violations of these Terms.
Our website may contain links to third-party websites or integrate with third-party services (e.g., cloud providers, payment gateways, analytics tools). We are not responsible for the content, privacy practices, or availability of these third parties. Your use of third-party services is governed by their respective terms and policies.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India. We encourage amicable resolution before initiating formal proceedings.
KS Techware shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, government actions, labor disputes, internet outages, or pandemic/epidemic events. Affected obligations will be suspended for the duration of the force majeure event.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our website or services after the changes take effect constitutes acceptance of the revised Terms. For ongoing engagements, material changes will be communicated in writing.
